ACQUISITION OF BIOLOGICAL ASSETS AND CARBON CREDITS – KENYA

Channing Law is pleased to have advised SAVO and its affiliates on the acquisition of the Komaza biological and carbon assets in Kenya.

The acquisition was structured through the execution of three related transactions: (i) acquisition of biological assets; (ii) acquisition of carbon rights and underlying farmer data; and (iii) carbon pre-purchase agreement.

The transaction involved the acquisition of the biological assets and carbon project of Komaza, which worked with over 20,000 farmers and planted 8,000 hectares of commercial forestry plantations across Kenya.

The transaction also included the acquisition of a Verra-registered carbon project which will generate market trusted credits and long-term value for farmers, buyers and partners.

The three interrelated transactions closed on 17 April 2025.

The transaction adds to Channing Law’s track record of closing deals in Africa. The Channing Law team comprised of Chana Abrams (Director), Soniya Weller (nee Ambadkar) (Associate) and Stéphanie Leigh (Senior Paralegal).
